1. Introduction

Thank you for taking the time to review Yoplanning’s Terms of Use and Privacy Policy.
This document explains what you can and cannot do with Yoplanning, how we process your personal data, and how we respect your privacy.

By using Yoplanning, you agree to be bound by the following terms, conditions, and information. Vakario reserves the right to update and modify these Terms of Use and this Privacy Policy. Any material change will be notified to the User (by email or via an in-app notification) with reasonable notice before taking effect. Any breach of the terms below may result in termination of your account.

2. Ownership, Editorial Responsibility, and Legal Information

This software is the property of Vakario – SARL, with registered office at 245 rue du Marais, 73190 Challes-les-Eaux (France), registered with the Chambéry Trade and Companies Register under number 493 337 315.

As part of GDPR compliance, Yoplanning has appointed a Data Protection Officer:

3. General Terms of Use

Yoplanning is an application suite designed and developed by VAKARIO, intended to assist in activity management and providing access to various interconnected modules and applications, accessible online at https://yoplanning.pro. In particular:

  • Yoplanning (activity scheduling management application) – available free of charge.

The Yoplanning Service can be customized by the User during configuration, including the selection of optional modules. Additional options or modules may be added at any time via the User’s Account.

By ordering the Yoplanning Service, VAKARIO grants the User a non-exclusive license to use its software and applications for the duration of the subscription.

Management decisions made by the User remain the sole responsibility of the User. Yoplanning is only a support tool.

Accessibility

Access to Yoplanning and the processing of User-provided information is available 24/7 via https://yoplanning.pro.

Traceability

The User is informed that actions performed are logged by the Yoplanning application.
The User retains ownership of all elements and content created using Yoplanning.

Prohibited Uses

Except for rights expressly granted, the User is not authorized to:

  • Copy, print, transfer, sell, rent, sublicense, distribute, or display all or part of Yoplanning, except in the context of white-label resale.
  • Use Yoplanning to provide data processing, service bureau, time-sharing, or similar services to third parties, except in white-label resale.
  • Adapt, modify, develop, or merge Yoplanning into other software.
  • Remove or alter any trademarks, ownership notices, or copyrights.

User Responsibility

The User is solely responsible for any voluntary or accidental deletion of their data while using Yoplanning.

4. Liability in Case of Cyberattack or Network Failure

4.1 General Principles

Vakario implements reasonable measures to ensure security and availability. However:

  1. Security Measures
    Technical and organizational security measures are implemented. No system is entirely infallible.
  2. Limitation of Liability
    • Liability for proven direct damages is limited to the total amount paid by the User during the twelve (12) months preceding the incident.
    • Vakario shall not be liable for indirect damages, loss of profits, business interruption, or loss of customers.
  3. Notification and Assistance
    Users will be informed as soon as possible and assisted to minimize impact.
  4. Consumer Rights
    These provisions do not limit statutory consumer protection rights.

4.2 Personal Data Protection in Case of Incident

  1. Appropriate technical and organizational measures are implemented.
  2. Users, the DPO, and authorities (CNIL where applicable) will be notified in accordance with GDPR.

5. Privacy Policy

5.1 Purpose

This Privacy Policy explains how personal data is collected and used when using Yoplanning services, including third-party logins (Facebook, Google).

5.2 Data Collected

Data Provided Directly

  • Identification data (first name, last name, email)
  • Professional or personal activity information
  • Any information voluntarily provided

Automatically Collected Data

  • IP address, connection date/time, browser, OS
  • Cookies and similar technologies
  • Navigation statistics

Facebook Login

  • Facebook ID, name, email, profile picture (if available)
    Purpose: account creation and user experience improvement
    > No content is posted without explicit consent.

Google Login

  • Google ID, name, email, profile picture
    Purpose: account creation and simplified login
    > No access to Drive, Gmail, or other data without consent.

Google Calendar

  • Event writing access for synchronization
  • No storage of primary email or calendar events
  • OAuth token only

5.3 Legal Bases

  • Service delivery (contract performance)
  • User experience improvement (legitimate interest)
  • Social login (contract / consent)
  • Communications (consent or legitimate interest)
  • Legal obligations

5.4 Data Recipients

  • Authorized Vakario staff
  • Technical subcontractors under GDPR agreements
  • Facebook / Google when applicable
  • Possible transfers outside the EU with appropriate safeguards

5.5 Data Retention

  • Data retained while account is active
  • Archiving per legal obligations (e.g. invoicing: 10 years)
  • Logs retained for limited duration

5.6 Cookies

Cookies are used to ensure proper functionality and usage statistics.
No external marketing use.
Cookies can be disabled via browser settings (may affect functionality).

5.7 Statistical Use

Servers collect: - IP address, date/time - Pages viewed - Browser and OS - Search engine and keywords

Used solely for analytics and service improvement.

5.8 Your Rights

In accordance with GDPR: - Access, rectification, erasure, objection, etc.

6. Software Usage Rights

Vakario grants access rights to the Software for its intended purpose only.
No transfer of ownership: User owns their data, Vakario owns the Software.

The User agrees not to infringe intellectual property or confidentiality rights.

7. User Obligations

Suitability

The User acknowledges having received sufficient information to assess suitability.

Technical Environment

The User is responsible for internet access and required hardware.

8. Vakario Obligations

Vakario commits to providing access to the Software and may suspend access for maintenance. Vakario is not responsible for suitability to specific needs.

9. Data Processing, Hosting, and Backup

  1. User retains data ownership
  2. Data used only to provide services
  3. User responsible for configuration and backups
  4. Vakario performs regular backups
  5. Restoration time ≤ 72 hours
  6. Liability limitations apply (see Article 4)

10. Warranty Against Infringement

Vakario guarantees it holds the rights to grant use of the Software and that it does not infringe third-party IP rights.

11. SaaS Subscription Fees and Online Transaction Fees

  2. Prices may change with reasonable notice
  3. Transaction fees apply to online bookings (bank fees excluded)

12. Fraud Prevention

Payment providers (e.g. Stripe) handle fraud prevention. Yoplanning is not liable for payment fraud.

13. Payment Disputes

Yoplanning is not liable for chargebacks but provides transaction evidence.

14. Administrative Fees

Fraud-related dispute fees: - North America: $50 - Europe: €50
Refunded if dispute is resolved in favor of the client.

15. Booking Module – Specific Obligations

The Booking Module enables online sales via embedded code connected to Stripe. Vakario acts as a technical intermediary only.

Commissions apply to sales and are deducted monthly.

Partner Distribution

The module may be shared with partners; commissions still apply.

16. Distribution via ResaOne

Users may distribute offers via ResaOne:

  1. Public offer data may be promoted
  2. A specific billing/collection mandate may be required

17. Third-Party Billing and Collection (Optional)

Some features require acceptance of a specific Billing and Collection Mandate, which prevails over these Terms for financial and tax matters.

  • Force majeure

  • Contract language: French version prevails
